A Nondisclosure Agreement (NDA), often known as a confidentiality agreement, is a legally enforceable contract in the field of human resources that describes the terms and circumstances for sharing and protecting sensitive information. It is used to protect intellectual information, trade secrets, and sensitive data sent between employers and workers, or between an organization and other parties.

Example

An HR manager may request that a job candidate sign an NDA before discussing sensitive corporate plans during the interview process. This NDA would ensure that the candidate does not divulge or utilize any proprietary information obtained during the interview for personal benefit, or share it with others.
